Legal Counsel - based in Manila, Philippines or India (Bangalore is preferred location)

SAP is seeking a Legal Counsel to work within its field legal organization in the Asia, Pacific & Japan (“APJ”) region. Based in the Philippines or India, you will provide legal expertise for SAP and its business teams, particularly SAP’s sales teams, across the APJ region.
This includes finalizing legal aspects of precontractual elements of the sales cycle such as non-disclosure / confidentiality agreements, preparation and negotiation of the legal aspects of contracts, and working with other legal colleagues in the APJ region as part of an integrated team.
Primary responsibilities include working with SAP’s Shared Delivery Hub (“SDH”) and Commercial Finance teams in their drafting of cloud, license, professional services, and related agreements, negotiating agreements, and drafting complex legal language to address customer issues, all while working collaboratively with sales professionals, pricing and revenue recognition teams, to help achieve SAP’s business growth strategies and objectives.
The successful candidate will also provide legal advice and counselling on a variety of matters, including intellectual property, licensing, data privacy, and compliance matters. Experience in the Cloud (software-as-a-service) / Technology / IT sector is strongly preferred.
Key to your success as a Legal Counsel will be your ability to:
- Draft, redline, and negotiate contractual terms with customers, including cloud, software licensing, professional services agreements, and data processing agreements.
- Work closely with the Internal Sales, Pricing, and Revenue Recognition teams during the drafting and negotiation process.
- Assist the commercial and sales teams with legal escalations relating to transactions.
- Help achieve SAP’s business goals by serving as a true business partner, balancing legal risks against commercial objectives.
- Identify contractual risks and suggest alternatives that lead to optimal solutions.
- Work with sales, finance, and operations teams to ensure that contractual terms comply with legal, regulatory, and company policies.
- Integrate legal, business, technical, and practical analysis into the provision of legal advice.
- Assist in handling various field and corporate legal matters, including non-disclosure agreements, real estate, procurement, marketing, privacy, and intellectual property rights.
Education and Skills:
- Tertiary qualifications in Law from an accredited law school.
- Licensed to practice law in the Philippines or India (having passed the Bar exams).
- 2 - 4 years of post-qualification legal experience in contract and transactional law.
- Customer-service mindset, with strong written, communication, and interpersonal skills.
- Team player with the ability to work collaboratively across multiple teams.
- Excellent written and oral English language skills.
- Inquisitive and motivated, with the ability to work under supervision.
