Job Summary:
Handle listed company compliances. This role involves managing board meetings, maintaining company records, ensuring compliance with SEBI (Securities and Exchange Board of India) regulations, and acting as a liaison between the board of directors, shareholders, and regulatory authorities.
Key Responsibilities:
- Regulatory Compliance:
- Ensure compliance with all statutory and regulatory requirements under the Companies Act, SEBI regulations, and other applicable laws.
- Maintain up-to-date knowledge of listing regulations, corporate governance norms, and other compliance requirements for listed companies.
- Prepare and file necessary returns, forms, and disclosures with regulatory bodies such as the Registrar of Companies (RoC), SEBI, Stock Exchanges, and others.
- Board and Committee Meetings:
- Review and preparation of Boards Report, Annual Filing forms of Companies and LLPs including the preparation and distribution of agendas, notices, and board papers.
- Draft, review, and maintain accurate minutes of board meetings, committee meetings, and general meetings.
- Corporate Governance:
- Advise the management corporate governance practices
- Assist in the formulation and implementation of corporate governance policies.
- Ensure compliance with the corporate governance requirements under SEBIs Listing Obligations and Disclosure Requirements (LODR).
- Shareholder Relations:
- Manage all shareholder correspondence, including dividend payments, share transfers, and handling queries.
- Ensure timely dissemination of information to shareholders and the stock exchange, including financial results, annual reports, and other statutory disclosures.
- Oversee the maintenance of the companys statutory registers, including the register of members, directors, and charges.
- Legal Compliance:
- Provide legal advice on matters related to company law, securities law, and other regulatory issues.
- Liaise with external legal advisors and regulators on compliance-related matters.
- Ensure that the companys contracts, agreements, and other legal documents comply with regulatory requirements.
- Risk Management:
- Identify potential compliance risks and develop strategies to mitigate them.
- Conduct regular reviews and audits of the companys compliance practices and procedures.
- Reporting:
- Prepare and present compliance and governance reports to the senior management.
- Ensure accurate and timely submission of reports to regulatory authorities and stakeholders.
- Training and Development:
- Stay informed of developments in corporate law and ensure continuous professional development.
Qualifications:
- Education: Qualified Company Secretary (CS) with membership in the Institute of Company Secretaries of India (ICSI). Additional qualifications in law will be an advantage.
- Experience: Minimum of 4 - 5 years of experience as a Company Secretary, with significant experience in managing listed company compliances.
- Knowledge: Strong understanding of the Companies Act, SEBI regulations, LODR, and other relevant laws.

- Proficiency in MS Office and compliance management software.
