The Corporate Legal Counsel will provide legal support and advice, ensuring compliance with laws and regulations, managing contractual obligations, handling corporate governance, and mitigating legal risks. The ideal candidate will have a strong background in corporate law, energy regulations, and renewable energy projects.
Key Responsibilities:
- Legal Advisory:
- Provide legal advice to the management team on various matters including corporate governance, mergers and acquisitions, contracts, and intellectual property.
- Ensure compliance with federal, state, and local laws and regulations relevant to the solar energy industry.
- Contract Management:
- Draft, review, and negotiate a wide range of contracts including supply agreements, power purchase agreements (PPAs), leases, and joint venture agreements.
- Manage the legal aspects of project financing, construction contracts, and operational agreements.
- Regulatory Compliance:
- Monitor and interpret energy regulations and policies affecting the solar power industry.
- Ensure compliance with environmental regulations, health and safety laws, and renewable energy standards.
- Liaise with regulatory bodies and manage licensing and permitting processes.
- Risk Management:
- Identify and assess legal risks and develop strategies to mitigate these risks.
- Oversee and manage litigation, disputes, and any regulatory investigations.
- Implement and manage compliance programs and internal policies.
- Corporate Governance:
- Advise on corporate structure and governance matters.
- Support the preparation and management of board meetings, shareholder meetings, and other corporate records.
- Ensure adherence to corporate governance best practices.
- Training and Development:
- Conduct training sessions for employees on legal topics, compliance requirements, and regulatory updates.
- Develop and update legal documentation, templates, and best practices.
Qualifications:
- Juris Doctor (JD) degree from an accredited law school.
- Bachelor’s degree, often in a related field such as business or political science.
- Admission to the bar in the relevant jurisdiction(s).
- 1-2 years of experience in corporate law or at a law firm.
- Strong analytical and problem-solving skills.
- Excellent communication and negotiation abilities.
- Ability to draft and review legal documents, contracts, and agreements.
- Strong relationship-building skills, both within the organization and with external partners.
- Commitment to ongoing legal education and staying updated on changes in corporate law and regulations.
- Amenable with a hybrid work setup in Makati City.
